1. Acceptance of Terms

By accessing or using the ShadowQuant platform ("Service"), operated by Aries Labs ("we," "us," or "our"), you agree to be bound by these Terms of Service, our Privacy Policy, and our Risk Disclosure, all of which are incorporated herein by reference. If you do not agree to these terms, do not use the Service.

2. Nature of Service — AI Research Platform

The Service includes AI-generated research outputs such as market analysis podcasts, email newsletters, regime detection, sentiment analysis, directional signals, and hypothetical trade scenarios for cryptocurrency, forex, and equity markets.

All content on this platform is the output of automated AI research systems and is published for informational, educational, and AI research demonstration purposes only. Nothing on this platform constitutes financial advice, investment advice, trading advice, tax advice, legal advice, or any other form of professional advice or personalized recommendation.

No fiduciary, advisory, or professional client relationship is created between you and Aries Labs by your use of this Service. See our Risk Disclosure for complete details.

3. User Accounts and Eligibility

You must be at least 18 years of age to use this Service. You may be required to provide an email address to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and current information.

4. Free and Paid Services

Certain features of ShadowQuant are available for free. Paid subscription tiers, when available, provide access to additional AI research outputs and are billed monthly or annually as described on our Pricing page.

• Payments are processed securely by Stripe; we do not store your payment card details
• Subscriptions may be canceled at any time; cancellation takes effect at the end of the current billing period
• Refunds are handled on a case-by-case basis at our sole discretion
• We reserve the right to change pricing, features, or tier structures with 30 days' notice to active subscribers
• Paid access grants you a personal, non-transferable license to view AI research outputs — it does not create an advisory relationship

5. AI-Generated Content Acknowledgment

You expressly acknowledge and agree that:

• All analysis, signals, predictions, and commentary on this platform are generated by AI systems, not human analysts
• AI systems can and do produce errors, inaccuracies, contradictions, and hallucinations
• No AI-generated output on this platform should be treated as a recommendation to take any financial action
• You are solely responsible for any decision to act on or be influenced by AI-generated content
• Performance metrics displayed are hypothetical and do not represent real trading results (see Risk Disclosure)

6. Intellectual Property

All content on the ShadowQuant platform — including AI-generated analysis, podcast episodes, data visualizations, algorithms, AI models, branding, and software — is the intellectual property of Aries Labs. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit this content without prior written permission.

Subscribers may use AI research outputs for personal reference and personal trading decisions but may not redistribute, resell, sublicense, or republish the content in any form.

7. Prohibited Uses

You agree not to:

• Redistribute, resell, sublicense, or publicly share any paid content or data
• Attempt to reverse-engineer, decompile, or extract our AI systems, models, algorithms, or data pipelines
• Use automated systems (bots, scrapers, crawlers) to extract data from the platform
• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Impersonate ShadowQuant, Aries Labs, or misrepresent affiliation with us
• Represent ShadowQuant content as personal financial advice to any third party
• Use the platform to manipulate markets or engage in any form of market abuse

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, OR AVAILABILITY.

We do not warrant that: the Service will be uninterrupted, timely, secure, or error-free; AI-generated content will be accurate, reliable, complete, or current; any particular trading result or financial outcome will be achieved; or the Service will meet your specific requirements or expectations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARIES LABS, ITS FOUNDER, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, BUSINESS OPPORTUNITY, OR TRADING LOSSES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE.

In no event shall our total aggregate liability exceed the amount you have paid to us, if any, in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.

You expressly acknowledge that all trading and investment decisions are made solely by you and at your own risk. Aries Labs bears no responsibility for any financial outcome resulting from your use of this platform.

10. Indemnification

You agree to indemnify, defend, and hold harmless Aries Labs, ShadowQuant, its founder, employees, contractors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any trading or investment decision you make based on, influenced by, or related to content on this platform.

11. Modifications

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated revision date. For paid subscribers, material changes will also be communicated via email with at least 14 days' notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) shall survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and Risk Disclosure, constitute the entire agreement between you and Aries Labs regarding your use of the Service and supersede all prior agreements and understandings.
